4.Facts of the violation and reasons: The 2016 financial report published and filed by Fx Hotels Group Inc. has not been ratified by the supervisors. The Commission has ordered the Company to correct the deficiency before a specified time by Letter No. Jin-guan-zheng-shen-zhi 1060012175 dated April 5, 2017, No. Jin-guan-zheng-shen-zhi 1060014249 dated April 20, 2017, and No. Jin-guan-zheng-shen-zhi 1060021668 dated June 6, 2017, and the Company failed to comply with such orders. It is therefore determined as a violation against Article 165-1, and subsection 1, paragraph 1, Article 36, mutatis mutandis, of the Securities and Exchange Act.

5.Resulting fine: The responsible person of the violation by Fx Hotels Group Inc. is charged with a punishment of an administrative fine of NTD 240,000 pursuant to subsection 4, paragraph 1, Article 178, and paragraph 2, Article 179 of the Securities and Exchange Act.
