1.Date the punishment was imposed: Apr. 23rd, 2018

2.Recipient of the punishment: The Responsible Person Liu, XX who acts on behalf of GAMANIA DIGITAL ENTERTAINMENT CO., LTD.

3.Legal Basis of the Punishment: Paragraph 8 of Article 26-3, Subsection 7, Paragraph 1 of Article 178, and Paragraph 1 of Article 179 of the Securities and Exchange Act; Subsection 7, Paragraph 1 of Article 7 of the Regulations Governing Procedure for Board of Directors Meetings of Public Companies.

4.Facts of the violation and reasons: During the period from August 2012 to September 19th 2017, GAMANIA DIGITAL ENTERTAINMENT CO., LTD. (hereinafter “the Company”) donated 43,000 thousand NTD to its interested party GAMANIA CHEER UP FOUNDATION, but instead of submitting the donations to the Board of Directors for discussions, the Company only submitted the donations to the Board of Directors for record and approval until September 29th 2017. In consideration of the aforementioned facts, the Company violated Subsection 7, Paragraph 1 of Article 7 of the “Regulations Governing Procedures for Board of Directors Meetings of Public Companies”.

5.The disciplinary action: Imposing an administrative fine of 240,000 NTD on the Responsible Person who conducted the aforementioned acts on behalf of the Company in accordance with Subsection 7, Paragraph 1 of Article 178 and Paragraph 1 of Article 179 of the Securities and Exchange Act.
