1.Date the punishment was imposed: May 27, 2019

2.Recipient of the punishment: Responsible person for the conduct of Gudeng Precision Industrial Co., Ltd., Chiu, ○○.

3.Legal basis of the punishment: Subparagraph 2 of Paragraph 3 of Article 36, Subparagraph 4 Paragraph 1 of Article 178 and Article 179 of the Securities and Exchange Act, and Subparagraph 2 of Article 7 of the Securities and Exchange Act Enforcement Rules. 

4.Facts of the violation and reasons: Said Company disclosed that a civil lawsuit was brought by the other company on May 11, 2015. Later, the plaintiff-company substantially increased the amount of the claim on May 4, 2017, which is a material change to the lawsuit. However, said Company failed to disclose the information within 2 days upon the occurrence of such event. It is deemed as a violation against Subparagraph 2, Paragraph 3, Article 36 of the Securities and Exchange Act, and Subparagraph 2, Article 7 of the Act’s Enforcement Rules.

5.The disciplinary action: A fine of NT$240,000 was imposed on the responsible person for the Company’s conduct pursuant to Subparagraph 4, Paragraph 1, Article 178, and Article 179 of the Securities and Exchange Act effective at the time of such conduct.
