2. Recipient of the punishment: Yu , OO, the responsible person of the conduct by ShengHua Entertainment Communication Co., Ltd.

3. Legal basis of the punishment: Subparagraph 2 of Paragraph 3 of Article 36 of the Securities and Exchange Act, and Subparagraph 2 of Article 7 of the Securities and Exchange Act Enforcement Rules.

4. Facts of the violation and reasons: ShengHua Entertainment Communication Co., Ltd. was ordered by the National Taxation Bureau between 2018 and 2019 to pay the outstanding tax and penalties. Said Company has received the court order for payment in May 2019, which is an event that may have material impact on the company’s finance and business. However, said Company failed to make the announcement and filing within 2 days from the occurrence of such event. It is deemed as a violation against Subparagraph 2, Paragraph 3, Article 36 of the Securities and Exchange Act, and Subparagraph 2, Article 7 of the Securities and Exchange Act Enforcement Rules.

5. The disciplinary action: An administrative fine of NT$240,000 was imposed on the responsible person for the Company’s conduct’s pursuant to Subparagraph 4, Paragraph 1, Article 178, and Article 179 of the Securities and Exchange Act.
