3.Legal basis of the fine: Article 36-1, Paragraph 1(11) of Article 178, and Article 179 of the Securities and Exchange Act, Article 25 of the Regulations Governing Loaning of Funds and Making of Endorsements/Guarantees by Public Companies.

4.Facts of the violation and reasons: Klingon Aerospace Inc. resolved in its Board of Directors on November 13, 2019 to make the Loaning, NT$1,023 million, which reached the limit set in Paragraph 1(2)(3)(4)of Article 25 of the Regulations Governing Loaning of Funds and Making of Endorsements/Guarantees by Public Companies and, therefore, the regulatory filing thereof should be completed within 2 days upon the date of occurrence. Notwithstanding, the Company did not complete the regulatory filing until July 3, 2020 and should be held violating Article 36-1 of the Securities and Exchange Act.

5.Resulting fine: Sentenced to the fine, NT$240,000, in accordance with Paragraph 1(11) of Article 178 and  Article 179 of the Securities and Exchange Act.
