Proposed Amendment Draft to "Regulations Governing the Applicable Scope of Special Circumstances for the Public Announcement and Filing of Financial Reports and Operational Status Reports by Public Companies"

The Financial Supervisory Commission (hereinafter referred to as the FSC) proposes amendment to the " Regulations Governing the Applicable Scope of Special Circumstances for the Public Announcement and Filing of Financial Reports and Operational Status Reports by Public Companies " to strengthen the supervision of primary exchange (or OTC) listed companies (hereinafter referred to as KY companies) and enhance financial information transparency of listed companies. The amendments are summarized as follows:
I.  In order to strengthen the supervision of KY companies, it will be stipulated that the KY companies shall publicly announce and register second quarter financial reports duly audited and attested by a certified public accountant, approved by the board of directors, and recognized by the supervisors within 2 months after the end of the second quarters of each fiscal year from 2021. 
II.  In accordance with the timetable for enhancing information transparency set out in the “Corporate Governance 3.0 -Sustainable Development Roadmap”, it will be stipulated that listed companies with paid-in capital of NTD10 billion or more shall publicly announce and register annual financial reports within 75 days after the close of each fiscal year from 2022.
  The FSC said that, in addition to being published in the official gazette of the Executive Yuan, these draft amendments will be published on the FSC website.
