2.Recipient of the punishment: Chen, ○○, the responsible person for the conduct by Holiday Garden Hotel Corporation 

3.Legal basis of the punishment: Paragraph 8, Article 26-3 of the Securities and Exchange Act (A company shall formulate rules for the conduct of directors meetings; regulations governing the content of deliberations, procedures, matters to be recorded in the meeting minutes, public announcement, and other matters for compliance shall be prescribed by the Competent Authority.), and Paragraph 2 of Article 3 of the Regulations Governing Procedure for Board of Directors Meetings of Public Companies  (The reasons for calling a board of directors meeting shall be notified to each director and supervisor at least seven days in advance. In emergency circumstances, however, a meeting may be called on shorter notice.)

4.Facts of the violation and reasons: It has been verified that the convening of the board of directors’ meeting of Holiday Garden Hotel Corporation on June 24, 2019 was not due to an urgent matter. However, the directors were not informed of the non-urgent matter seven days prior to the meeting. This has been verified to be in violation of the provisions of paragraph 2, Article 3 of the Regulations Governing Procedure for Board of Directors’ Meetings of Public Companies.

5.The disciplinary action: A fine of NT$240,000 was imposed on the responsible person for the conduct pursuant to Subparagraph 9, Paragraph 1, Article 178, and Article 179 of the Securities and Exchange Act.
